You really got Counter-Strike open in the background? Or what do you mean by cs?
Please close all other games, programs and browser in the background. For me it works fine with browser and teamspeak in the background but please try to close everything to check out whats the connection lose determine.

reinstall vcredist in Panzar\PnzTools\Redist\ directory under Admin rights.
Reinstall DX - from Microsoft Update center.
